Visium - website terms
1. Scope of application
1.1 These Terms (hereinafter also referred to as: “Regulations” or "Terms") apply to any and all usage of the website available at https://www.visium.com/ (hereinafter referred to as: "Website", or "Site"), being the sole property of Visium SA, a company incorporated under laws of Switzerland, with its registered office at Prilly Unlimitrust Campus Route des Flumeaux, Prilly 1008, Switzerland, tax number: CHE-192.033.195 (hereinafter: "Service Provider", or "VISIUM"), by: any natural or legal person, regardless of its place of residence, registered office, or legal form (hereinafter referred to as: "User"). Service Provider and User hereinafter are jointly referred to as the "Parties").
1.2 Use of the Website constitutes the acceptance of these Terms by the User. Commencement of Sites' use is tantamount to the User expressing consent to the current version of the Regulations.
1.3 The rules for using the Website are determined by these Terms, the Privacy Policy and applicable legal provisions. The Terms and Privacy Policy are publicly available on the Site and can be consulted there.
1.4 In the unlikely event of a discrepancy between these Terms and any individual agreements and/or negotiated and/or agreed contractual provisions, the provisions of the negotiated or agreed contract shall prevail. These Terms shall apply to the extent not regulated by such agreement.
1.5 Under no circumstances shall the User's internal policies or regulations be binding in relation to the Website and/or VISIUM, its affiliated entities or subsidiaries. In the absence of separate written arrangements between the Parties, these Regulations shall override any other provisions contained in the User's internal regulations.
2. User representation
2.1 User, being a natural person, hereby represents, warrants and guarantees that (s)he possesses full legal capacity, capacity to perform legal actions and being not less than thirteen (13) years of age.
2.2 A User being a legal person hereby represents, warrants and guarantees that it possesses full legal capacity, full capacity to perform legal acts, and that the person(s) acting on its behalf is/are duly authorised to execute and perform any agreement.
2.3 Any User hereby represents, warrants and guarantees that (s)he acts in good faith.
3. User obligations
3.1 User is obligated to:
3.1.1 Use the Website in accordance with its intended purpose.
3.1.2 Comply with the Regulations and applicable provisions of law.
3.1.3 Refrain from using devices, software or methods that disrupt the operation of the Website and from any actions that may impede its proper functioning, including attempts to breach its security.
3.1.4 Observe good manners and not infringe the rights of third parties, moral rights and legitimate interests of the Service Provider.
3.2 VISIUM reserves the right to deem given behaviour as violating the Regulations' provisions and remains entitled, with immediate effect, to suspend or revoke the User's right to use the Website and/or Content in case of violation of the Terms and/or provisions of law.
4. Subject matter of the agreement - user rights
4.1 VISIUM makes Site content available to the User in a way that allows the User to access it at a time and place of his/her choice, including, but not limited to, VISIUM's service descriptions, career section, team presentation, contact details and others (hereinafter: “Content”).
4.2 Some Content can be saved by the User.
4.3 The Contents is provided to the User free of charge.
4.4 Content being made available via the Website has an illustrative and informational character only and shall not constitute an offer within the meaning of legal provisions.
4.5 The Service Provider reserves the right to temporarily suspend the Site and/or Content provision for adjustments, improvements, maintenance or repairs.
5. Duration of the agreement
5.1 The agreement concluded between the Parties, the content of which constitutes these Regulations, is concluded for a defined period of time; from the moment the User starts using the Website (pursuant to point 1.2 above) till the User ceases using it.
6. Intellectual property rights
6.1 Content made available on the Site constitutes a public domain resource.
6.2 Notwithstanding the above, all and any intellectual property rights related to the Website and Content, and not being a resource of public domain, are and shall remain the exclusive property of VISIUM. These rights include in particular, copyrights, patents, related rights, industrial property rights, database rights, trade names, designations, and other exclusive rights similar or equivalent.
6.3 Use of the Content and/or Website shall not constitute any transfer of any intellectual property rights vested with VISIUM to the User.
6.4 The User shall not to infringe the Service Provider's intellectual property rights, in particular: (s)he shall not copy, modify, decompile, alter, reproduce or reconstruct the Website and/or Content. This prohibition applies to both, actions undertaken independently and in cooperation with third parties.
7. Liability limitations and warranty
7.1 The Website and/or the Content are made available on an "as is" basis, and the Service Provider bears no responsibility for technical and/or legal limitations that the User may encounter. These limitations include, in particular, geographical location, used device and/or software, and telecommunications infrastructure.
7.2 VISIUM's liability for damages resulting from non-performance or improper performance of the Terms’ obligations, including liability for defects, is solely limited to the actual damages incurred by the User. This excludes in particular, claims for lost profit, income, production, customers, and other indirect damages.
7.3 VISIUM bears no responsibility for non-performance or improper performance of the Regulations caused by force majeure, understood as an external event that could not be foreseen and/or prevented. Force majeure includes, in particular, but not exclusively, actions of state authorities, strikes, blockades, wars, riots, epidemics, earthquakes, fires, and floods.
7.4 The Service Provider does not provide a warranty for the Content provision, understood as the services provision.
7.5 The Service Provider bears no responsibility for Content made available at the Website if it was not created by the Service Provider, and in any manner, in relation to such Content, is not its guarantor.
8. Applicable law, dispute resolutions and complaints
8.1 These Terms were drafted in accordance with the law of Switzerland and are subject to its provisions.
8.2 In the event of a dispute, the Parties undertake to attempt its amicable resolution before referring the matter to the courts of Lausanne, having its jurisdiction over the VISIUM's registered office.
8.3 The User shall be entitled to submit a complaint regarding the Website and/or Content. Each complaint should be submitted in writing to the Service Provider's address or via e-mail to: legal@visium.com. The complaint shall contain: the User's full name and surname, correspondence address, e-mail address, and a detailed description of the issue. The Service Provider undertakes to evaluate the complaint within twenty (20) working days nonetheless, there is a prospect of extending this period in the case of high complex issue, in which case the User will be notified about the extension within the original - prescribed twenty (20) days period.
9. Final provisions
9.1 These Regulations take effect from 20 May 2026.
9.2 VISIUM reserves the right to amend the Regulations.
9.3 Any reproduction or publication of these Terms without the prior written consent of the Service Provider is strictly prohibited.
9.4 If any provision of these Regulations is or becomes invalid, ineffective or unenforceable, all other provisions, including the remaining part of the invalid, ineffective or unenforceable provision, shall remain fully valid, effective and enforceable. VISIUM undertakes to promptly replace the invalid, ineffective, or unenforceable provision (or the invalid, ineffective, or unenforceable part thereof) with another in a way that it attains the economic purpose of the replaced provision (or part thereof) thoroughly.
9.5 The section headings are for the convenience of the Parties only and shall not affect the interpretation of these Terms.
